This is a translation for your convenience. In case of any discrepancy, the German version is the legally binding one.

1. Scope

These Terms and Conditions apply to the use of the mobile app "gathered" (the "App" or "Service") and to all paid add-on services (in particular "Boost" ads and the "Gathered Pro" subscription).

The provider and contracting party is Gathered UG (haftungsbeschränkt) i.G., represented by its managing director Lenny Anzalichi, Berliner Straße 10, 63110 Rodgau, Germany ("we" or "the provider"). Once registration with the Offenbach am Main Local Court is complete, the suffix "i.G." will be dropped.

These terms apply both to consumers within the meaning of § 13 BGB (German Civil Code) and to businesses within the meaning of § 14 BGB.

6. Paid reach (Boost ads)

6.1 What is a Boost?

A "Boost" is a paid add-on service. As a host you can have an event you created shown prominently for a limited time in the feed of other users in the city you select. Boost ads are clearly labelled as "Anzeige" (advertisement) pursuant to § 5a UWG (German Act Against Unfair Competition).

6.2 Conclusion of contract (§ 312j BGB)

The Boost contract is concluded by tapping the "Jetzt zahlungspflichtig boosten" (Boost now — payment required) button. Before you order, the key contract details are shown to you: the Boost package selected, duration, city, total price (incl. statutory VAT, remitted by Apple or Google Play as marketplace facilitator) and information on your right of withdrawal.

Payment is made exclusively through the respective app store (Apple App Store or Google Play Store) under their payment terms. We receive the purchase price less the commission charged by Apple or Google.

6.3 Availability of Boost slots

Only a limited number of Boost places ("slots") is available per city and day. They are allocated on a first come, first served basis. If all slots for a day are taken, you will see this before ordering — no order is then possible.

For multi-day packages the system automatically picks the next available free days within a 14-day window. You can review the selected days in the calendar before buying.

6.4 One event = one active Boost

Only one Boost can be active per event at any time. If a Boost is already booked for an event (running or paused), you cannot buy another Boost for that same event until the running one has ended.

6.5 Boost duration and automatic end

A Boost ends automatically once the booked duration has elapsed. No cancellation is required. It does not renew automatically.

6.6 No guarantee of results

We guarantee that your Boost ad will run for the booked duration in the city you selected. However, we give no guarantee as to any particular number of views ("impressions"), clicks, event sign-ups or reach. The number of active users in the selected city fluctuates, and each user’s individual behaviour is outside our control.

6.7 Grant of rights for running the ad

By buying a Boost you grant us the non-exclusive right, limited to Germany and to the duration of the Boost, to display your event (in particular its title, cover image, description and location) in the App as advertising content. You warrant that you hold all the rights required for this (in particular copyright and personality rights in images) and that the content does not infringe any third-party rights.

If you breach this warranty, you indemnify us against third-party claims.

6.8 Advertising disclosure under § 5a UWG

All Boost ads are recognisable as advertising to other users "at first glance and beyond doubt". They are labelled with a prominently placed "ANZEIGE" (advertisement) marker on the event cover.

6.9 Right of withdrawal (§ 356 BGB)

As a consumer you generally have a 14-day right of withdrawal (§ 312g in conjunction with § 355 BGB). The full withdrawal instructions are available at any time during checkout and in the withdrawal section of the App.

6.10 Expiry of the right of withdrawal (§ 356 (5) BGB)

Buying a Boost is a supply of digital content. So that the Boost can go live immediately, we ask you for three separate confirmations before the contract is concluded:

  1. You expressly request that we begin performance before the withdrawal period expires (§ 356 (5) no. 1 BGB).
  2. You confirm that you know your right of withdrawal thereby expires (§ 356 (5) no. 2 BGB).
  3. You accept these terms and our privacy policy.

Only once all three declarations are confirmed can you complete the purchase.

6.11 Withdrawal before activation (§ 356a BGB)

In the period between ordering and actual activation (a short technical processing time) you can still withdraw from the contract. We provide a withdrawal button in the App for this ("My Boost → Withdraw from contract"). On an effective withdrawal you receive a full refund of the purchase price — repayment is made via the same payment route (Apple App Store or Google Play Store).

6.12 Refunds after activation

Once the Boost has been activated, a refund via the App is no longer possible. You can, however, request a refund at any time through your app store’s refund function:

6.13 Pausing in special circumstances

We reserve the right to pause or end an active Boost automatically in the following cases:

In these cases we examine individually whether the Boost price should be refunded pro rata for days not yet run. Payout is made via the respective app store refund route.

6.13.1 Pro-rata refund if you cancel the event

If, as the host, you cancel your event after the Boost has been activated, we refund the Boost price pro rata for the remaining days not yet run. Calculation: (remaining days / total days) × gross purchase price. Advertising days already run (including today) are not refundable.

We issue the payout manually via the Apple refund route within 14 days of the Boost being paused. Neither Apple nor Google offers an automatic server-side refund API — we trigger each refund individually.

Example: you book a 7-day Boost at €34.99 and cancel the event after 5 days. Refund: 2/7 × €34.99 = €9.99.

6.14 Order confirmation (§ 312f BGB)

After a successful Boost purchase or withdrawal we send you a confirmation email without delay to the address stored in your account. If it does not arrive, please check your spam folder or contact us by email.

6.15 Tax notice

Gathered UG (haftungsbeschränkt) i.G. is a small business under § 19 UStG (German VAT Act) and does not remit VAT of its own. The VAT included in the final price is withheld and paid to the tax office exclusively by Apple or Google Play acting as marketplace facilitator under § 3 (3a) UStG.

7. Gathered Pro subscription

7.1 Description of the service

"Gathered Pro" is a paid subscription. It unlocks the "Crowd Insight" feature: aggregated, anonymised statistics about the confirmed guests of public events (age-group distribution, gender ratio, share of guests from the event’s city, share of returning guests for that host, top interests of the attendees).

Statistics are only shown once at least 2 guests have confirmed; the full detail view only from 5 guests. We give no guaranteethat statistics will be available for every event — in particular, no statistics are shown for events with few confirmations or for private events. Hosts can see the statistics for their own event without a subscription.

All statistics are aggregated and anonymised. Values for individual guests cannot be retrieved — not even by subscribers. Details of the data processing are in our privacy policy.

7.2 Prices, term and automatic renewal

Gathered Pro costs €2.99 per week or €29.99 per year (each incl. statutory VAT, remitted by Apple as marketplace facilitator). It is taken out as an auto-renewing subscription via Apple App Store in-app purchase (currently iOS only; an Android version will follow). The subscription renews automatically for the period booked (one week or one year) unless it is cancelled at least 24 hours before the end of the current period. Billing runs through your app store account. New customers get the first 3 days free (introductory offer, once per Apple account); after that the regular price of the chosen plan applies automatically unless cancelled beforehand.

7.3 Cancellation

The subscription is managed and cancelled exclusively in the subscription settings of your app store account (iOS: Settings → your name → Subscriptions). Cancelling at least 24 hours before the current period ends prevents automatic renewal; the service remains available until the end of the period already paid for.

7.4 Conclusion of contract (§ 312j BGB)

The subscription contract is concluded by tapping the purchase button marked "zahlungspflichtig" (payment required) and then confirming the purchase in the App Store. Price, term and automatic renewal are shown to you before you order.

7.5 Right of withdrawal

As a consumer you have a 14-day right of withdrawal. The Gathered Pro subscription is a continuous digital service — details, in particular on pro-rata compensation for value if performance starts immediately (§ 357a BGB), are in the withdrawal instructions. Refunds for purchases made through the Apple App Store are handled by Apple under its own policies (reportaproblem.apple.com); your statutory rights towards us remain unaffected.

7.6 Warranty and updates (§§ 327 ff. BGB)

As a digital product, the subscription is covered by the statutory warranty rights of §§ 327 ff. BGB. During the contract term we provide the updates required to keep it in conformity (§ 327f BGB) and inform you about them.

7.7 Minors

Minors need the consent of their legal guardians to take out paid subscriptions.

7.8 Tax notice

The tax notice in clause 6.15 applies to the subscription accordingly.

8. Intellectual property

8.1 App content

All rights in the App, its design, the "gathered" brand and the underlying technology belong to the provider.

8.2 User content

You keep the rights in your content (text, images). By uploading it you grant us a non-exclusive, worldwide licence to display that content in the App.

9. Liability

9.1 Exclusion of liability

gathered is a platform for connecting people. We are not:

The provider’s liability is limited to intent and gross negligence. This does not apply to injury to life, body or health.

9.3 Availability

We aim for high availability of the App but cannot guarantee uninterrupted availability.

10. Data protection

The processing of personal data is governed by our privacy policy policy.

11. Changes to these terms

We reserve the right to change these terms. We will inform you in the App of any material changes. Continued use after notification counts as acceptance.

12. Final provisions

12.1 Applicable law

German law applies, excluding the UN Convention on Contracts for the International Sale of Goods. For consumers this choice of law applies only in so far as it does not deprive them of the protection afforded by mandatory provisions of the law of the country of their habitual residence (Art. 6 (2) Rome I Regulation).

12.2 Place of jurisdiction

The place of jurisdiction for all disputes arising from this contractual relationship is — to the extent legally permissible — our company’s registered office (Rodgau, or after registration the competent court at the seat of the UG).

12.3 Dispute resolution

We are neither willing nor obliged to take part in dispute resolution proceedings before a consumer arbitration board (§ 36 (1) no. 2 VSBG).

Should individual provisions be invalid, the remaining provisions remain unaffected.
